Effective August 24, 2007 KeySpan Corporation merged with a subsidiary of National Grid plc. Upon the closing, two events occurred with respect to KeySpan Common Stock:

• Shares of KeySpan Common Stock have been converted into the  right to receive the merger consideration of $42 per share in cash.
• KeySpan will pay a pro-rata dividend to shareholders of record as of August 23, 2007 in the amount of 23.7 cents per share.
